FIRMSPACE BROKER CLUB PROGRAM TERMS OF SERVICE


To be eligible to receive payment and other benefits (“Compensation”) as described below, Broker Party must accept these Terms of Service:

Qualified Broker

Broker, and if applicable, the brokerage entity with which the Broker is associated (collectively, “Broker Party”), shall be actively licensed at the time of referral.

Qualified Referral

Subject to these terms, for any person or entity (the “Referred Party”) to be considered a qualified referral, the Referred Party must:

  • have given Broker expressed consent for referral;

  • execute a membership agreement within ninety (90) days from the date of Registration (as defined below);

  • not have a current or previous membership;

  • not be an affiliate of a company with current or previous membership;

  • not be an affiliate of the entity providing the Registration;

  • not have previously contacted Firmspace, in any city, within ninety (90) days prior to Registration.

Registration Process

Referred Party registration (“Registration”) may be submitted:

and must include:

  • Broker’s name;

  • Broker’s company;

  • Broker’s valid telephone number;

  • Broker’s valid email address;

  • Referred Party’s name;

  • Referred Party’s Firmspace location of interest.

Communication

Following the submission of a qualified referral, Firmspace will contact the referring Broker directly to confirm receipt of Registration, to obtain further details, and to provide pricing and availability. To be eligible to receive Compensation, Broker must, within reason, facilitate Referred Party introductions, communications, tours, and the execution of any membership agreement(s).

Compensation

Registration of a Qualified Referral may allow Broker Party to receive Compensation (as described at www.firmspace.com/brokers). Compensation is subject to change without notice. To receive Compensation, Broker Party must be actively licensed at the time of Registration and remain actively licensed through the execution of the Referred Party’s membership agreement. Subject to the terms above, Compensation will be mailed thirty (30) days post receipt of Broker Party’s invoice and W9 which must be submitted, within thirty (30) days of executed membership agreement, to brokers@firmspace.com. If overpayment should occur, Broker Party will promptly return any excess payment within fourteen (14) days of notice.

Confidentiality

Broker agrees to keep the terms of a membership agreement (“Confidential Information”) between Firmspace and a Referred Party confidential and will not disclose any of the Confidential Information to Broker Party's other employees or to third parties; provided, however, that any of such Confidential Information may be disclosed to Broker Party’s employees or representatives who need to know such Confidential Information for the purpose of assisting with consummation of the membership agreement contemplated hereby, and have agreed to abide by non-disclosure terms at least as protective of the Confidential Information as those set forth herein. Any violation by Company of this confidentiality shall be a breach of these terms and, in addition to any other remedies that may be available, in law, in equity or otherwise, may result in forfeiture of any eligible Compensation.
